These Terms & Conditions ("Terms") govern your use of the Hazy Bridge website and your relationship with Hazy Bridge ("Hazy Bridge," "we," "us," or "our").

By accessing our website, contacting us, or using services provided by Hazy Bridge, you agree to these Terms. If you do not agree with these Terms, please do not use our website or services.


1. Our Services

Hazy Bridge provides technology, IT, cloud, web development, communications, event support, and related technical services to businesses, organizations, and individuals.

Specific services, project requirements, pricing, timelines, responsibilities, and other obligations may be described in a separate proposal, statement of work, service agreement, invoice, or other written agreement between Hazy Bridge and a customer.

If a separate written agreement conflicts with these Terms, the terms of the applicable written agreement will generally control for that specific service or engagement.


2. Use of Our Website

You agree to use our website only for lawful purposes and in a manner that does not interfere with the operation, security, or availability of the website.

You may not:

  • Attempt to gain unauthorized access to our systems or services
  • Interfere with or disrupt the operation of our website or infrastructure
  • Use our website to distribute malicious software or harmful content
  • Attempt to access information belonging to another user without authorization
  • Use our website for unlawful, fraudulent, or abusive purposes

3. Customer Responsibilities

Customers are responsible for providing accurate information and for cooperating with Hazy Bridge as reasonably necessary to provide services.

Depending on the service being provided, customers may be responsible for maintaining appropriate access credentials, licenses, subscriptions, backups, hardware, and third-party services.

Customers should not provide Hazy Bridge with credentials or access that they are not authorized to provide.


4. Third-Party Services

Hazy Bridge may configure, manage, or integrate third-party products and services on behalf of customers. These may include cloud platforms, hosting providers, domain registrars, email services, telecommunications providers, software platforms, and other technology vendors.

Third-party services are generally subject to the terms, policies, pricing, availability, and limitations of the applicable third-party provider. Hazy Bridge is not responsible for outages, changes, or failures caused by third-party services outside of our reasonable control.


5. Payments and Fees

Customers agree to pay the fees described in the applicable proposal, invoice, service agreement, or other written agreement.

Unless otherwise agreed in writing, invoices are due according to the payment terms stated on the invoice. Hazy Bridge may suspend services for substantially overdue accounts after providing reasonable notice.

Customers remain responsible for fees charged by third-party providers, including hosting, telecommunications, software, domain registration, and cloud services, unless those costs are specifically included in a Hazy Bridge service agreement.


6. Intellectual Property

Hazy Bridge retains ownership of its pre-existing software, tools, templates, processes, documentation, know-how, and other intellectual property unless otherwise agreed in writing.

Customer-specific deliverables and other work product will be handled according to the applicable proposal or service agreement.

Customers represent that they have the necessary rights and permissions to provide Hazy Bridge with content, software, data, images, trademarks, and other materials supplied for use in a project.


7. Confidentiality and Customer Information

Hazy Bridge may receive confidential information while providing services. We will use reasonable measures to protect confidential information and will use it only as reasonably necessary to provide services, operate our business, or comply with applicable law.

Additional confidentiality, security, data protection, or compliance obligations may be established through a separate agreement between Hazy Bridge and a customer.

8. SMS and Text Messaging Terms

The following terms apply when you opt in to receive text messages from Hazy Bridge.

Definitions

"Opting In" or "Opt-In" means requesting, joining, agreeing to, enrolling in, signing up for, acknowledging, or otherwise consenting to receive text messages from Hazy Bridge.

"Text Message Service" means any service through which Hazy Bridge sends messages to a mobile telephone number, including SMS, MMS, or successor messaging technologies.

Consent to Text Messaging

By opting in to receive text messages from Hazy Bridge, you agree to these Terms and our Privacy Policy.

Depending on the service, text messages may include customer support communications, service notifications, reminders, appointment information, or other transactional communications.

Electronic Records

By agreeing to receive text messages, you consent to the use of electronic records to document your agreement and communications.

Message and Data Rates

Hazy Bridge does not charge you for sending or receiving text messages through our Text Message Service. However, message and data rates may apply depending on your mobile carrier and service plan.

Message Frequency

Message frequency will vary depending on the nature of your relationship with Hazy Bridge and your use of our services. We may send an initial message containing information about the service, followed by messages related to your interactions with us.

Opting Out

You may opt out of text messages at any time by replying STOP to a message from Hazy Bridge.

You may also use other commonly recognized unsubscribe terms, including QUIT, END, CANCEL, or UNSUBSCRIBE.

After receiving an opt-out request, we may send a confirmation message. You will not receive additional messages unless you subsequently opt in again, except where a message is reasonably necessary to process your opt-out request or otherwise permitted by law.

SMS Privacy

We do not sell or share SMS opt-in information, including mobile phone numbers and consent records, with third parties for their own marketing or promotional purposes.

SMS communications may be delivered through third-party messaging platforms, telecommunications providers, and other vendors that assist us in delivering messages.

10. Backups and Data Recovery

Unless specifically included in a written service agreement, Hazy Bridge does not guarantee that any particular customer data will be backed up or recoverable.

Customers remain responsible for maintaining appropriate backups of important information unless Hazy Bridge has expressly agreed in writing to provide backup and recovery services.


11. Limitation of Liability

To the maximum extent permitted by applicable law, Hazy Bridge will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our website or services.

This includes, where permitted by law, loss of profits, revenue, business opportunities, data, or goodwill.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.


12. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Hazy Bridge harmless from claims, damages, losses, liabilities, and expenses arising from your unlawful use of our website or services, your violation of these Terms, or your infringement of another party's rights.


13. Termination

Hazy Bridge may suspend or terminate access to our website or services when reasonably necessary, including in response to misuse, security concerns, nonpayment, or violation of these Terms.

Customers may terminate services according to the terms of their applicable service agreement.


14. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, technology, or legal obligations.

When we make changes, we will update the "Last updated" date at the top of this page. Continued use of our website or services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.


15. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
